Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On August 15, 2019, GAIN Capital Holdings, Inc. (the “Company”) announced that Samantha Roady will be stepping down from her role as President of the Retail business, effective September 30, 2019, to pursue other interests outside the leveraged trading industry. Following Ms. Roady’s departure, Glenn Stevens, CEO of the Company, will assume direct responsibility for the Company’s global Retail business.
